HEATHER CRON
Heather Cron is an executive compensation and employee benefits attorney. She guides companies and executive teams through complex transactional issues and daily corporate governance matters, and she offers strategic advice on benefits, tax and securities-related issues.
Heather’s practice addresses a variety of issues impacting companies and their teams, including:
Negotiation and drafting of employment agreements, consulting agreements, and severance arrangements;
Design, implementation and administration of incentive compensation plans (including equity incentive plans, “phantom” stock plans, employee stock purchase plans, profits interest arrangements, change-in-control or transaction bonus plans and performance bonus plans); and
Strategic planning for transaction-related issues such as Internal Revenue Code Sections 280G (“golden parachute” rules) and 409A (deferred compensation), disclosures, executive and equity compensation, and employee and benefits plan transition and post-closing integration.
Prior to joining Pacific Tax and Compensation Counsel, Heather practiced at King & Spalding in Atlanta and Orrick, Herrington & Sutcliffe in Menlo Park. She is admitted in California, Georgia and Ohio.
Heather earned her J.D., magna cum laude, Order of the Coif, from Duke University School of Law. During her time at Duke, Heather served as Managing Editor for Law & Contemporary Problems, President of the Transactional Law Competition Board, Dean’s Cup Coordinator of the Moot Court Board, and Peer Mentor of First-Generation Professionals.
Heather also holds a B.Sc. in Elementary Education and Special Education, summa cum laude, from Anderson University in South Carolina. She is an experienced teacher and mentor to teenagers with autism, ADHD and learning disabilities.
Outside of work, Heather enjoys hiking, running and visiting Atlanta’s museums and theatres.
